These Terms & Conditions ("Terms") govern your access to eagle.solar and the purchase of products and services from Eagle Solar, a brand of H Industry LLC ("Eagle Solar," "we," "us," or "our"). By using this website, requesting a quote, opening an account, or placing an order, you agree to these Terms.

1. Acceptance of Terms

You accept these Terms by using the site or by submitting a quote request, credit application, or purchase order. If you are agreeing on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the site or place orders.

2. Eligibility and Business Accounts

• You must be at least 18 years old and authorized to act for a business entity.
• You agree to provide accurate, current, and complete account information and to keep it updated.
• You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.
• We may approve, decline, suspend, or close accounts at our discretion, including where we suspect fraud, misuse, or violation of these Terms.

3. Products and Availability

Product descriptions, specifications, images, and datasheets are provided for general reference and are based on information supplied by manufacturers. Module wattage, dimensions, cell technology, and packaging may vary by production batch. Availability is subject to change without notice, and listing on the site does not guarantee stock.

4. Quotes and Pricing

• Quotes are valid for the period stated on the quote (typically 30 days) and are subject to product availability at the time of order.
• Pricing is wholesale and may be tiered by volume, product line, or account status.
• Prices exclude freight, insurance, taxes, and any applicable duties unless expressly stated.
• We reserve the right to correct pricing or specification errors and to change pricing before an order is accepted.

5. Orders and Acceptance

All orders are subject to our acceptance. An order is accepted only when we issue an order confirmation or ship the products. We may decline or cancel an order, in whole or in part, for reasons including product unavailability, pricing errors, credit concerns, export or compliance restrictions, or suspected fraud. If we cancel an order after payment, we will refund the applicable amount.

6. Payment Terms

• Unless credit terms are approved in writing, payment is due before shipment.
• Approved accounts may receive net payment terms stated on the invoice. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
• You are responsible for all taxes associated with your purchase, excluding taxes on our net income.
• We may offset any amounts owed to us against credits, refunds, or other amounts payable to you.

7. Shipping, Title, and Risk of Loss

• Shipping dates are estimates and not guarantees. We are not liable for delays caused by carriers, weather, customs, or events beyond our reasonable control.
• Unless otherwise agreed in writing, title and risk of loss pass to you upon delivery to the carrier (F.O.B. origin).
• You are responsible for inspecting shipments upon delivery and noting visible damage or shortage on the delivery receipt.
• Freight charges, liftgate service, inside delivery, and jobsite delivery restrictions may apply and will be quoted where applicable.

8. Inspection, Returns, and Cancellations

• Claims for shortage, damage, or incorrect product must be reported within 5 business days of delivery, with photographs and packing documentation where requested.
• Returns require prior written authorization (RMA). Unauthorized returns may be refused.
• Returned products must be unused, in original packaging, and in resalable condition. A restocking fee of up to 25% may apply.
• Special-order, custom, clearance, and opened electrical or battery products are non-returnable except where defective.
• Order cancellations after picking or shipment may incur charges for freight, handling, and restocking.

9. Manufacturer Warranties

Products are sold with the manufacturer's warranty, which is provided by the manufacturer and not by Eagle Solar. We will assist with warranty documentation and claims submission, but warranty coverage, duration, and remedy are determined solely by the manufacturer. Warranty terms may require installation by qualified, licensed professionals and registration within specified periods.

10. Installation, Code Compliance, and Safety

Eagle Solar supplies equipment only. We do not design, install, or commission systems, and we are not responsible for installation, permitting, inspection, or compliance with the National Electrical Code, local building codes, utility interconnection rules, or incentive program requirements. Installation must be performed by qualified, licensed professionals. You are responsible for verifying that products are suitable for your intended application.

11. Intellectual Property

The site, including text, graphics, logos, and layout, is owned by or licensed to Eagle Solar and protected by applicable intellectual property laws. Manufacturer names, logos, and trademarks are the property of their respective owners and are used for identification purposes only. You may not copy, reproduce, or redistribute site content without our prior written consent.

12. Acceptable Use

You agree not to use the site to violate any law, infringe intellectual property, transmit malicious code, attempt unauthorized access, scrape content at scale, or interfere with the site's operation. We may suspend access for violations.

13. Disclaimer of Warranties

Except as expressly stated in these Terms, the site and all products and services are provided "as is" and "as available." To the maximum extent permitted by law, Eagle Solar disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components, or that product information is complete or current.

14. Limitation of Liability

To the maximum extent permitted by law, Eagle Solar and its officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, business interruption, or loss of data, arising out of or related to these Terms, the site, or any product, even if advised of the possibility of such damages. Our total aggregate liability for any claim will not exceed the amount you paid to us for the product or service giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Eagle Solar and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your installation or use of products, or your violation of any law or third-party right.

16. Force Majeure

We are not liable for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, labor disputes, utility or carrier failures, supply shortages, tariffs, government action, or war.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or your purchases will be brought exclusively in the state or federal courts located in Bernalillo County, New Mexico, and you consent to their jurisdiction and venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Changes to These Terms

We may update these Terms from time to time. The version posted on this page governs your use of the site from its effective date. Orders are governed by the Terms in effect when the order is accepted, unless otherwise agreed in writing.

19. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with any order confirmation, invoice, credit application, and written agreement signed by the parties, constitute the entire agreement regarding their subject matter and supersede prior discussions.
